Data Processing Agreement

This data processing agreement applies to all customers where Online Conversion is acting as a data processor, unless Online Conversion and the customer have entered into a separate agreement governing data processing.

This Data Processing Agreement (“DPA”) is an addendum to the legal agreement between you (the “Customer”) and Online Conversion for your use of the Online Conversion Services (the “Agreement”).

1. Definitions

For the purposes of this DPA, the following definitions apply:

  • Customer Personal Data: The categories of Personal Data set out in Annex A to this DPA, which Online Conversion processes on behalf of the Customer.
  • Data Protection Law: Refers to applicable legislation on the protection of personal data, including the GDPR, UK GDPR, or similar data protection regulations, as applicable.
  • Sub-Processor: Any entity engaged by Online Conversion to process Customer Personal Data on its behalf.

All capitalized terms not defined in this DPA shall have the meaning set forth in the Agreement.

2. Roles and Responsibilities

The parties agree that in processing Customer Personal Data, the Customer is the Controller, and Online Conversion is the Processor, as described in Annex A.

Online Conversion will only process Customer Personal Data according to the Customer’s documented lawful instructions, except as required by law.

3. Security

Online Conversion will implement appropriate technical and organizational security measures to protect Customer Personal Data from unauthorized access, loss, or damage. These measures are designed to preserve the confidentiality and integrity of Customer Personal Data as detailed in Annex B.

4. Personal Data Breach and Notifications

Online Conversion shall promptly notify the Customer of any confirmed Personal Data Breach affecting Customer Personal Data. This includes investigating and taking reasonable steps to contain and address the breach.

5. Cooperation with the Customer

Online Conversion will assist the Customer in complying with its legal obligations under Data Protection Law, including responding to requests from Data Subjects and cooperating with Supervisory Authorities, as detailed in the Agreement.

6. Audit and Compliance Review

Online Conversion shall maintain documentation demonstrating compliance with this DPA and Data Protection Laws and provide access to the relevant documentation upon reasonable request from the Customer.

7. Use of Sub-Processors

The Customer grants Online Conversion a general authorization to subcontract its processing of Customer Personal Data to Sub-Processors, subject to this Section 7. Online Conversion will ensure that Sub-Processors comply with similar data protection obligations as those imposed on Online Conversion under this DPA.

8. Obligations of the Customer

The Customer warrants that it shall comply with its obligations under Data Protection Laws and shall not request Online Conversion to process any Sensitive Data unless authorized by law.

9. International Transfers

Online Conversion may transfer Customer Personal Data within or outside the EU/EEA and the UK, provided that such transfers comply with Data Protection Law and the terms of this Agreement.

10. Return or Deletion of Data

Upon termination of the Agreement, Online Conversion shall return or delete all Customer Personal Data, unless retention is required by applicable law.


Annex A – Details of Data Processing

  • Processor: Online Conversion
  • Controller: The Customer
  • Purposes of Processing: Provision of the Online Conversion Services, including learning platforms and content management.
  • Data Subjects: Users of the services (learners, teachers, etc.)
  • Categories of Customer Personal Data: Includes names, email addresses, course-related data, and other data related to user activity.
  • Sensitive Data: Not processed unless specifically provided by the Customer.
